Contract and Legal Affairs Manager

Position Summary:

The Contract and Legal Affairs Manager serves as a trusted advisor to the company, overseeing all contract reviews, supporting legal risk management, and coordinating the necessary legal support as requested across the organization. This role serves as the primary internal resource for contract administration and legal coordination, while acting as the liaison between the company and outside legal counsel.

The position is focused on proactively identifying, assessing, and mitigating contractual and legal risks in support of construction and energy operations, ensuring alignment with company objectives and regulatory requirements.

 

Job Description:

Contract Review and Administration

  • Coordinate, schedule, and lead the review, analysis, and negotiation of contracts, subcontracts, purchase orders, and related agreements.
  • Identify and assess contractual risks, including indemnity, insurance, warranty, schedule, flow down, payment, and other relevant provisions.
  • Provide clear, business-focused recommendations for project teams and leadership.
  • Develop and maintain standard contract templates, playbooks, and review guidelines.
  • Track contract execution, pre-qualifications, compliance requirements, and key obligations of upstream and downstream agreements.
  • Disseminate relevant information to the appropriate Company personnel for project execution.

 

Legal Guidance and Risk Management

  • Provide day-to-day guidance on legal and contractual matters in plain, actionable terms.
  • Provide education and necessary support to internal stakeholders and project execution teams regarding dispute avoidance, notice provisions, claims management, documentation practices, and other essential contract components.
  • Assist in evaluating exposure related to project risks, incidents, and regulatory compliance.
  • Coordinate with the VPSRM on enterprise risk strategies and mitigation efforts.
  • Identify, assess, and mitigate legal and operational risks across projects and corporate operations; provide recommendations aligned with business objectives.
  • Be familiar with lien laws and proper resources for the initiation and application of such.
  • Must possess familiarity with mediation, arbitration, litigation, and preservation of claims.

 

Legal Liaison and Case Coordination

  • Serve as the primary liaison between the company and external legal counsel.
  • Manage the flow of confidential information, documentation, and communication as requested by VPSRM for all legal matters, including:
    • Claims and disputes
    • Litigation and arbitration
    • Regulatory inquiries or investigations
    • Insurance and similar claims matters
  • Ensure outside counsel is effectively and efficiently utilized while being aligned with business objectives.

 

Policy Development and Compliance

  • Support the development and implementation of company policies related to contracts and legal risk.
  • Assist in ensuring compliance with applicable federal, state, and local laws, including construction and energy regulations.
  • Monitor emerging legal and regulatory developments impacting company operations.

 

Training & Internal Support

  • Provide training and guidance to project managers and other project execution team members regarding contract terms, risk identification, and best practices.
  • Promote contract literacy/knowledge across the organization to reduce exposure and improve execution.

 

Qualifications Desired

Education and Experience

  • Bachelor’s degree and/or verifiable work experience (Business, Construction, Management, or related field)
  • Juris Doctor (JD) preferred but not required

Experience

  • 5–10+ years of experience in contract management, legal affairs, or risk management
  • Experience in construction, energy, or infrastructure industries strongly preferred
  • Demonstrated experience reviewing and negotiating complex commercial agreements

Industry Knowledge

  • Understanding the various aspects of the construction operations involved in each Contract.
  • Understand and possess a general knowledge of Castle’s business units and operations and how such relates to contract terms and conditions.
  • Build a rapport with contract managers with Clients to facilitate changes or updates as needed.
